iCashbook Terms of Use

License Agreement for iCashbook

Welcome and thank you for selecting iCashbook. This license agreement is a legal agreement between you (Customer), and iCashbook. You must accept the terms of this Agreement before accessing or otherwise using iCashbook or any of the services that may be provided under this Agreement. In order to access and use iCashbook, you must have access to the Internet.

1. Definitions

  • "Access Fee" Means the monthly fee (excluding any taxes and duties) payable by you in accordance with the fee schedule set out on the Website (which may change from time to time on notice to you).
  • "Agreement" means this agreement iCashbook Terms and Conditions of Use. (Already defined in opening paragraph)
  • "Agreement Date" means the date on which you agreed to use iCashbook
  • "Automated Bank Transaction Data" means the bank and/or credit account transaction data automatically sent to us under your authorisation.
  • "Communication Facilities" means electronic bulletin boards, chat rooms and other communication facilities which provide for feedback by users to use, real-time interaction between users (including individuals referred to as guests and experts) and other electronic messaging and notice services within iCashbook.
  • "Confidential Information" Includes all information exchanged between the parties to this Agreement, whether in writing, electronically or orally, including iCashbook but does not include information which is, or becomes, publicly available other than through unauthorised disclosure by any other party.
  • "Customer" means a user of iCashbook and also the words you and your, and includes your employees, consultants, representatives and agents.
  • "Data" Means any data inputted by you, or your bank, into iCashbook.
  • "Enterprise" Means sole trader, partnership, company, trust, not-for-profit organisation, club, charity, government or local body, and any other organisation that uses iCashbook to record Data.
  • "iCashbook" means the iCashbook online software system and associated services owned by the iCashbook Group and its associated companies
  • "Intellectual Property" means all intellectual property rights and interests which owns or holds or is entitled to use in connection with iCashbook business, including but without limitation:
    the Trade Marks, the Trade Name, the Logo, the brand iCashbook, service marks, copyrights, registered designs and patents;
    Trade Marks, service marks, designs and patents (if any) applied for (whether registration is granted or not);
    all unregistered designs, methods, copies, formulae, plans, data, drawings, specifications, characteristics, domain names and email names and/or addresses Equipment designs, inventions, discoveries, improvements, know-how, experience, trade secrets, logos, symbols, signage, decor, trade dress, colour schemes, or other information used in or developed in connection with, iCashbook business.
  • "Registration Data" means the information you supply as part of the sign-up process.
  • "Transactions Fee" means the fee charged by your bank to us for the Automated Bank Transaction Data .
  • "Website" means the Internet site at the domain www.iCashbook.com or any other site operated by us.

2. Use of iCashbook

We grant you the right to access and use iCashbook, products, and information via the Website. This right is non-exclusive and non-transferable and limited by the terms outlined in this Agreement.

3.Your Obligations

3.1 Payment obligations:
You will accept the Access Fee charged to your nominated credit card in advance on a monthly cycle from the Agreement Date. An invoice will be sent to your email address for each enterprise setup in iCashbook, as supplied in the Registration Data, covering the Access Fee and the previous months Transactions Fee. We will continue charging and invoicing you monthly until this Agreement is terminated in accordance with clause 8.

3.2 Sales and Consumption Tax:
If a sales or a consumption tax (e.g GST, VAT etc) is imposed on any supply made by us through iCashbook, you must pay this amount to us in addition to any consideration payable under clause 3.1.

3.3 Ownership of Data and Enterprise:
You must only use iCashbook and Website for your own lawful internal business purposes, in accordance with this Agreement and any notice sent by us or condition posted on the Website. There is no limit to the number of businesses you can add and process within your iCashbook login. Each additional business over and above your main business is charged individually at a reduced monthly fee in accordance with the fee schedule set out on the Website. The reduced monthly fee is granted on the basis that you acknowledge that:

  • Each business is owned by you, your company or your organisation
  • The bank accounts and credit cards processed through your iCashbook belong to you, your business or organisation.
  • If the business or organisation is not yours, that you are the sole authorised user of the bank accounts, credit cards and accounting responsibility involved
  • Any breach could result in permanent cancellation of your membership and use of iCashbook.

3.4 Automated Bank Transaction Data delivered into your iCashbook account:
Where available, Automated Bank Transaction Data is generally provided to you for a charge. We reserve the right to pass on any charges applied by specific banks in providing Automated Bank Transaction Data. You have the option to discontinue use of the Automated Bank Transaction Data service at any time by serving notice to us and the service will be terminated in accordance with each banks normal practice.

Automated Bank Transaction Data is delivered by your bank. iCashbook cannot be held responsible for the accuracy, timeliness or any other error or loss resulting from this service from your bank.

3.5 Restrictions of Use:
You are not licensed or permitted under this Agreement to do any of the following and you shall not allow any third party to do any of the following:

  • Access or attempt to access any other iCashbook systems, programs or data that are not made available for public use; and
  • Copy, reproduce, republish, upload, post, transmit, resell or distribute in any way the material from iCashbook unless the information appears in the part of iCashbook where this is permitted; and (May have to split this section to differentiate that which can be copied and distributed free as against sold)
  • Permit any third party to benefit from the use or functionality of iCashbook via a rental, lease, timesharing, service bureau, or other arrangement; and
  • Transfer or assign any of the rights granted to you under this Agreement; and
  • Work around any technical limitations of iCashbook, use any tool to enable features or functionalities that are otherwise disabled in iCashbook, or decompile, disassemble, or otherwise reverse engineer iCashbook except as otherwise permitted by applicable law; and
  • Perform or attempt to perform any actions that would interfere with the proper working of iCashbook, prevent access to or the use of iCashbook by other Customers, or impose an unreasonable or disproportionately large load on iCashbooks infrastructure; and
  • Otherwise use iCashbook except as expressly allowed under this Agreement.

3.6 Communication Facilities:
As a condition of this Agreement, if you use any Communication Facilities, you agree only to use such Communication Facilities for lawful and legitimate purposes. You must not use any such Communication Facilities for posting or disseminating any material unrelated to the use of iCashbook including (but not limited to):

  • offers of goods or services for sale, or
  • files that may damage any other persons computing devices or iCashbook, or
  • content that may be offensive to any of our other users, or
  • material in violation of any law (including material that is protected by copyright or trade secrets which you do not have the right to use)

When you make any communication on the Website, you represent that you own the content of the communication. We are under no obligation to ensure that the communications on the Website are legitimate or that they are related only to the use of iCashbook. You must exercise caution when using the Communication Facilities available on the Website. However, we reserve the right to remove any communication at any time at our sole discretion.

3.7 Email Communications:
You authorise us to contact you via email with notifications of updates, system maintenance outages, and general marketing and latest news information. This includes authorisation to provide invoices and other commercial notices via email.

3.8 Indemnity:
You indemnify iCashbook against all claims, costs, damages and loss arising from your breach of this Agreement or any obligation you may have to iCashbook, including (but not limited to) any costs relating to the recovery of any Access Fees and other charges that have not been paid by you.

In addition, you indemnify iCashbook against any claims, costs, damage and loss arising from any incorrect data provided by any bank through the Automated Bank Transaction Data service.

3.9 Registration Data:
You must register to use iCashbook and Services and provide true, accurate, current and complete information in the Registration Data, and maintain and promptly update the Registration Data to keep it accurate, current and complete.

If you provide any Registration Data that is inaccurate, not current or incomplete, or iCashbook has reasonable grounds to suspect is inaccurate, not current or incomplete, we may, at our sole discretion, suspend or terminate your account and refuse any and all current or future access to and use of iCashbook (or any portion thereof).

3.10 You acknowledge that:
It is your responsibility to ensure that iCashbook meets the needs of your enterprise.

You hold the necessary authority to use iCashbook and to access the information that you access using iCashbook and the Website (whether that information is your own or that of anyone else).

If you are using iCashbook on behalf of or for the benefit of an organisation (whether a body corporate or not) then we will assume that you have the right to do so and that organisation will be liable for your actions or omissions (including any breach of this Agreement).The provision of, access to, and use of, iCashbook is on an as is, where is basis and at your own risk

You are solely responsible for the correct setup of iCashbook including the account codes within the chart, and to the correct sales and consumption tax rates applied.

You are solely responsible for maintaining the confidentiality and security of your login, password and other security measures used by you to access iCashbook, and providing access and assigning passwords to other users under your account for iCashbook, and ensuring that such authorised users comply with this Agreement.

3.11 Customer Access Information and Account Data:
All electronic communications, including account registration and other account holder information, email and financial, accounting and other data ("Communications") entered using the Customer Access Information.

We reserve the right to deny you access to iCashbook (or any part thereof) if we reasonably believe that any loss, theft or unauthorised use of Customer Access Information has occurred. You must inform us of, and hereby grants to iCashbook permission to use, Customer Access Information to enable iCashbook to provide the Services to you, including updating and maintaining Account Data, addressing errors or service interruptions, and to enhance the types of data and services iCashbook may provide to you in the future.

You also grant iCashbook permission to combine your Account Data with that of others in a way that does not identify you or any individual personally, to improve services and to compare spending practices with others with similar spending habits.

3.12 Third Party Services:
In connection with your use of iCashbook, you may be made aware of services, products, offers and promotions provided by third parties ("Third Party Services"). If you decide to use the Third Party Services, you are responsible for reviewing and understanding the terms and conditions governing any Third Party Services. You agree that the third party, and not iCashbook, is responsible for the performance of the Third Party Services.

3.13 Third Party Websites:
iCashbook may contain or reference links to websites operated by third parties ("Third Party Websites"). These links are provided as a convenience only. Such Third Party Websites are not under our control and we are not responsible for the content of any Third Party Website or any link contained in a Third Party Website. We do not review, approve, monitor, endorse, warrant, or make any representations with respect to Third Party Websites, and the inclusion of any link in iCashbook is not and does not imply an affiliation, sponsorship, endorsement, approval, investigation, verification or monitoring by of any information contained in any Third Party Website.

In no event will iCashbook be responsible for the information contained in such Third Party Website or for your use of or inability to use such website. Access to any Third Party Website is at your own risk, and you acknowledge and understand that linked Third Party Websites may contain terms and privacy policies that are different from those of iCashbook. We are not responsible for such provisions, and expressly disclaim any liability for them.

3.14 Technical Problems:
In the case of technical problems you must make all reasonable efforts to investigate and diagnose problems before contacting iCashbook representatives for assistance. If you still need technical help, please check the support and help information provided online with iCashbook, by contacting your internet service provider or IT support services, or failing that email us at support@iCashbook.com.

4. Our Obligations

4.1 iCashbook Use, Storage and Access:
iCashbook have the right, in its sole discretion and with reasonable notice posted on the Website and/or sent to your email address to revise, update, or otherwise modify iCashbook and establish or change limits concerning use of iCashbook, temporarily or permanently. iCashbook reserves the right to make any such changes effective immediately to maintain the security of the system or Customer information or to comply with any laws or regulations, and to provide you with electronic or written notice within thirty (30) days after such change. You may reject changes by discontinuing use of iCashbook. Your continued use of iCashbook will constitute your acceptance of and agreement to such changes.

4.2 Periodic Maintenance
We will from time to time perform maintenance upgrades to iCashbook resulting in interrupted service, and delays or errors in iCashbook. We will endeavour to provide prior notice of scheduled maintenance but cannot guarantee that such notice will be provided.

4.3 Electronic Communications:
iCashbook may be required by law to send communications to you that may pertain to iCashbook, the use of information you may submit to, and the services you choose. Additionally, certain of the Third Party Services you choose may require Communications with the third parties who administer these programs. You agree that , on behalf of itself, and others who administer such services (as applicable), may send Communications to you by email and/or may make Communications available to you by posting them at one or more of our sponsored websites, such as www.iCashbook.com. You consent to receive these Communications electronically. The term "Communications" means any notice, record, agreement, or other type of information that is made available to you or received from you in connection with iCashbook and the Online Services and Third Party Services.

The decision whether to do business electronically is yours, and you should consider whether you have the required hardware and iCashbook capabilities described below. Your consent to do business electronically and this Agreement to do so cover all transactions you conduct through iCashbook for as long as you remain a subscriber to iCashbook.

In order to access, use iCashbook, and undertake electronic communications, you will need: a computer, a monitor with a minimum of 1024x768 pixel resolution, a connection to an Internet Service Provider (ISP), Internet browser iCashbook (Internet Explorer v7 or higher, or Firefox v2 or higher) that supports 128-bit encryption, and an e-mail address. By selecting the "I accept" button, you are confirming to us that you have the means to access, and to print or download, Communications. We do not provide ISP services. You must have your own ISP.

If you later decide that you do not want to receive future Communications electronically, email us accordingly at support@iCashbook.com . If you withdraw your consent to receive communications electronically, we may terminate your use of iCashbook.

You agree to notify us promptly of any change in your email address. You can do so by logging on to and following the instructions to submit a comment to (please include both your old and new email address), or accessing your account maintenance page within iCashbook.

iCashbook does not guarantee the delivery of communications over the internet as these communications rely on third party service providers. Electronic communications are vulnerable to interception by third parties and iCashbook does not guarantee the security of these communications or the security of the service or the Website. iCashbook has, as part of its security and privacy policies, put in place certain security systems in iCashbook and Website but does not warrant or represent that iCashbook or Website service will not be subject to unauthorised access or modification.

5. Intellectual Property

iCashbook is licensed not sold, and we reserve all rights not expressly granted to you in this Agreement. iCashbook is protected by copyright, trade secret and other intellectual property laws, and its licensors own the title, copyright, and other worldwide intellectual property rights in iCashbook and all copies of iCashbook. This Agreement does not grant you any rights to trademarks or service marks of the licensor or iCashbook.

6. Warranties and Disclaimers

6.1 Country Specific Tax:
We have provided iCashbook initially for use in New Zealand. We recognise that many countries have similar sales and consumption tax policies and iCashbook could be used in that country without further modification. We do not warrant, nor accept the responsibility for the compliance of iCashbook with any country’s tax legislation.
We intend making available country specific versions of iCashbook and will endeavour to ensure that sales and consumption tax reports comply with country specific requirements. We do not hold any responsibility for compliance to local tax rules.

6.2 Virus checking
Although all reasonable efforts are made by us to ensure the integrity of the iCashbook and internet virus risks and threats, we cannot guarantee the safety or security of your computer systems. We do not accept liability for any damage to any computer system sustained in connection with the use of iCashbook via the internet.

6.3 No Warranties
We make no representations or warranties of any kind, express or implied, as to the operation of iCashbook. You agree that your use of iCashbook is entirely at your sole risk, and you accept that iCashbook may not meet your requirements or be suitable for your purposes. Nothing in this Agreement excludes, restricts or modifies any condition, warranty, right or remedy conferred on a party by any applicable law that cannot be excluded, restricted or modified by agreement.

To the fullest extent permissible by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose or warranties concerning accuracy, currency or completeness. We will not be liable for any damages of any kind arising from the use of iCashbook.

6.4 No Interruptions and Errors:
We do not warrant that the use of iCashbook will be uninterrupted or error free. The operation and availability of the systems used for accessing iCashbook, including public telephone services, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to iCashbook. We are not in any way responsible for any such interference or prevention of your access or use of iCashbook.

6.5 You Warrant that:
Any Confidential Information we receive, or use of the Communication Facilities, that the information was sent or authorised by you. You agree to immediately notify us if you become aware of any loss, theft or unauthorised use of any Customer Access Information.
We are not your accountant and use of iCashbook should not substitute professional accounting advice.
It is your sole responsibility to determine that iCashbook meets the needs of your Enterprise and the responsibility for tax and accounting compliance is yours in conjunction with any professional adviser you use.

6.6 Consumer Guarantees Act:
You warrant and represent that you are acquiring the right to access and use iCashbook and agreeing to this Agreement for the purposes of a business and that, to the maximum extent permitted by law, any statutory consumer guarantees or legislation intended to protect non-business consumers in any jurisdiction does not apply to the supply of iCashbook or this Agreement.

7. Limited Liability

As each new subscription payment will be treated as a new agreement, the maximum aggregate liability we will claim for all proven losses, damages and claims arising out of this Agreement, including liability for breach, in negligence or in tort or for any other common law or statutory action, is limited to an aggregate of all claims of one months subscription paid by you to us. Where our liability cannot be excluded under any law, our liability will be limited to re-supplying you a new subscription to use iCashbook. Despite any other clause in this Agreement, we are not liable to you or any other person for:

  • any loss or damage of any kind caused by or resulting from any wrongful, willful or negligent act or omission by you; or
  • any direct or indirect loss of profit or revenue, deletion or corruption of electronically or digitally stored information (including the Service Data), exemplary damages, or without limiting the other content of this clause, any indirect or consequential loss or damage however described or claimed.

8. Termination

8.1 Suspension or Cancellation
iCashbook has the right, in its sole discretion, to suspend or terminate the membership of and remove any member's records if that member in iCashbook’s opinion is responsible for any acts or conduct or legal proceedings that could cause damage or loss to the iCashbook reputation and good name or to the iCashbook business and value.

8.2 Termination for Non-Payment
iCashbook has the right, in its sole discretion, to suspend or terminate the membership of and remove any member's records where fees or transaction charges are unpaid after 7 days of the charges being due for payment.

8.3 No-Fault Termination:
This Agreement will continue for the period covered by the Access Fee paid in clause 3.1. This Agreement will automatically continue for the same period unless either party terminates this Agreement by giving notice to the other party at least 30 days before the end of the relevant payment period.

8.4 Consequences of Termination
On termination of this Agreement by either you or iCashbook for any reason you may no longer use the iCashbook products. iCashbook may delete all data stored on iCashbook systems within 30 days of termination unless otherwise agreed. iCashbook shall not be liable to you or any other party for any loss or damage to you or your business from termination of your access to iCashbook or the deletion of any information. Termination of this Agreement will not prejudice the legal rights or remedies which either party may have against the other in respect of a breach of any term of this Agreement.

9. General

9.1 Refunds
Customers subscribing to iCashbook and this Agreement agree to make advance payments to iCashbook on a monthly basis for the use of iCashbook. iCashbook will be made available to Customer for a period of one calendar month after the Access Fee is paid at which stage further Access Fees will be payable. If a Customer wishes to discontinue using iCashbook prior to the end of the subscription period, they will not be eligible for a refund.

Should iCashbook overcharge the Access Fee and/or Transaction Fee for any subscription period, iCashbook will refund the difference upon request from the customer or as identified. This refund will be by way of a credit entry back to the credit card the original payment was charged.

9.2 Notices
Any notice given under this Agreement by either party to the other must be in writing by email. Notices to iCashbook must be sent to support@iCashbook.com or to any other email address notified by email to you by us. We will acknowledge emails from you within three days of receipt. Notice will be deemed to have been received on the transmission date of the confirmation email. If you have not received a confirmation email within three days from your first email, we suggest you first check the email address that you sent the notice too, and resend. Notices to you will be sent to the email address which you provided in your Registration Data and will be deemed to have been given on transmission.

9.3 Amendment:
We reserve the right, to change or add to the terms of this Agreement at any time, and to change, delete, discontinue, or impose conditions on any feature or aspect of iCashbook (including but not limited to Internet based services, pricing, technical support options, and other product-related policies) upon notice via email and/or notification via the Website. Any use of iCashbook by you after such notification shall constitute your acceptance of this Agreement as modified.

9.4 Feedback:
iCashbook may supply you with a mechanism to provide feedback, suggestions and ideas, about iCashbook ("Feedback"). You agree that iCashbook may, in its sole discretion, use the Feedback you provide to us in any way, including but not limited to future modifications of iCashbook, multimedia works and/or advertising and promotional materials relating iCashbook.
You hereby grant iCashbook a perpetual, worldwide, fully transferable, non-revocable, royalty free license to use, modify, create derivative works from, distribute and display any information you provide to iCashbook in the Feedback.

9.5 Entire Agreement:
This Agreement, together with the Privacy Policy and the terms of any other notices or instructions given to you under this Agreement, supersede and extinguish all prior agreements, representations (whether oral or written), and understandings and constitute the entire Agreement relating to iCashbook.

9.6 Waiver:
If either party waives any breach of this Agreement, this will not constitute a waiver of any other breach. No waiver will be effective unless made in writing.

9.7 Delays:
Neither party will be liable for any delay or failure in performance of its obligations under this Agreement if the delay or failure is due to any cause outside its reasonable control. This clause does not apply to any obligation to pay money

9.8 Severability:
If any part or provision of this Agreement is invalid, unenforceable or in conflict with the law, that part or provision is replaced with a provision which, as far as possible, accomplishes the original purpose of that part or provision. The remainder of this Agreement will be binding on the parties.

9.9 Rights of Third Parties:
A person who is not a party to this Agreement has no right to benefit under or to enforce any term of this Agreement.

10. Jurisdiction

You accept that New Zealand law governs this Agreement and you submit to the exclusive jurisdiction of the courts of New Zealand for all disputes arising out of or in connection with this Agreement, without reference to any conflicts of laws.

11. Knowledge Base

11.1 Third-Party Products, Services & Content
Some of the products, services and information used or offered for sale on iCashbook may be with permission of third parties. The third party products, services and information are not provided or endorsed by us and your legal relationship is with the third party supplier.

We have not checked the accuracy or completeness of the information or the suitability or quality of the products and services of any third parties. You must make your own enquiries with the relevant third party supplier direct before relying on the third party information or entering into a transaction in relation to the third party products and services supplied via iCashbook sites. You should check with the third party supplier whether there are additional charges and terms, which may apply.

We may receive fees and/or commissions from third parties for goods and services of such third parties displayed or made available on iCashbook sites or accessible through a hyperlink on iCashbook sites. You acknowledge and consent to us receiving these fees. All prices displayed and products and services offered for supply on any iCashbook sites are subject to change without notice.

11.2 Not Advice
Where information of any type including financial, investment, money, general business, business content or news is displayed on iCashbook sites, you acknowledge that iCashbook and its associates are in no way responsible for the accuracy of the said information and are in no way providing or holding out as providing business, financial, investment, accounting or any form of professional advice.

The said information is provided for general use only as an educational help and is not guaranteed to be totally accurate or up to date. No guarantees are given that the information displayed on the sites is the most current to that day. The information provided does not purport to be business, financial, investment, accounting or any form of professional advice and must not be viewed in any way whatsoever as a substitute for independent professional advice.

You agree and acknowledge that any services provided on this site, (which may include but not be limited to the services of an insurance broker, mortgage lender, personal banking, business or other financial or professional services) (the "Services") is only an invitation for you to exchange information so that we or (where applicable) the relevant institution may determine whether it is to mutual advantage to do business with each other.

For example, any application for a loan or information disclosed by you in contemplation of applying for a loan is not to be construed as an offer by iCashbook or the relevant institution that is capable of acceptance. Further, the state or country in which you reside or do business may have particular laws, which render the information provided inapplicable to your specific situation.

iCashbook providing the information only for educational purposes - they are not advisers. iCashbook is not permitted by its policy to provide or offer advice of any kind on any matter whether business, financial or otherwise. Any enquiries received from users seeking answers believed to be advice or views or opinions will not be answered and an email to the enquirer to that effect will be sent to explain iCashbook position and policy.

11.3 Communication Facilities
It is a condition of your use of the Communication Facilities and your access to iCashbook that you do not do any of the following:

  • Restrict or inhibit any other user from using or enjoying any Forum;
  • Post or transmit any unlawful, threatening, abusive, defamatory, obscene, vulgar, pornographic, profane or indecent information or material of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any applicable law;
  • Post or transmit any material of any kind which violates or infringes upon the rights of any other person, including material which is an invasion of any privacy or publicity rights or which is protected by copyright, trademark or any other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or relevant right holder;
  • Post or transmit any material of any kind which contains a virus or other harmful component;
  • Post, transmit or in any way exploit any material of any kind for commercial purposes, or which contains any promotional material or advertising;
  • Delete any author attributions, legal notices or proprietary designations or labels in any file that is uploaded; or
  • Download any file posted by any other user of a Forum if you know, or reasonably ought to know, that the file cannot legally be distributed in such manner.

We may from time to time monitor or review the contents of our Communication Facilities. While we reserve our right to edit, refuse to post or to remove any information and/or materials (in whole or in part) that in our sole discretion is in any way objectionable or in violation of any applicable law or the Terms, we have no obligation whatsoever to monitor any Communication Facility or to edit, delete or refuse to post such contents, nor are we responsible for any contents in any Communication Facilities (including any information, comments and/or advice of any individual referred to as guest or expert whose statements on any iCashbooks sites are solely their own).
